These Terms of Service ("Terms") govern your access to and use of the FlipperPal mobile application and associated services (collectively, the "Service"), operated by FlipperPal ("we," "us," or "our"). By downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility and Account Registration
You must be at least 18 years of age to use FlipperPal. By using the Service, you represent that you meet this requirement. You are responsible for providing accurate information during account registration and for maintaining the confidentiality of your login credentials. You are responsible for all activity that occurs under your account.
2. Subscription Plans and Billing
2.1 Subscription Plans
FlipperPal offers the following plans:
- Free: Access to the full app with a SAMPLE watermark on generated PDFs.
- Basic ($4.99/month): 5 clean (watermark-free) bills of sale per month, full app access, and deal history.
- Pro ($9.99/month): 30 clean bills of sale per month, full app access, and deal history.
2.2 Billing and Auto-Renewal
Paid subscriptions are billed monthly through your app store account (Apple App Store or Google Play). Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. The renewal charge will be applied to your payment method on file with Apple or Google.
2.3 Cancellation
You may cancel your subscription at any time through your device's app store settings. Cancellation takes effect at the end of the current billing period — you will retain access to your paid plan until that date. We do not provide refunds for partial billing periods, except as required by applicable law or as determined by Apple or Google's refund policies.
2.4 Plan Changes
You may upgrade or downgrade your subscription plan at any time. Upgrades take effect immediately; downgrades take effect at the start of the next billing period.
2.5 Price Changes
We reserve the right to change subscription pricing. We will provide at least 30 days' notice before any price changes take effect. Continued use of the Service after the effective date constitutes acceptance of the new pricing.
3. Sold As Is Disclaimer
FlipperPal generates bills of sale that include a "Sold As Is" clause. This clause is included as a convenience to users who wish to document private vehicle sales on an as-is basis. FlipperPal is not responsible for the accuracy, completeness, or legal validity of any vehicle information entered by users. The Sold As Is clause generated by the App does not constitute legal advice, and FlipperPal makes no warranty that any bill of sale generated by the App will be enforceable or legally sufficient in any particular jurisdiction.
Users are solely responsible for verifying the accuracy of all information entered into the App, including vehicle identification numbers (VINs), seller and buyer information, and sale prices. FlipperPal's VIN decoding feature retrieves publicly available data from the NHTSA database; FlipperPal makes no warranty as to the accuracy or completeness of that data.
4. No Legal Advice
FlipperPal is a productivity tool designed to assist with generating bill of sale documents. FlipperPal is not a law firm and does not provide legal advice. Nothing in the App or on this website constitutes legal advice. The documents generated by FlipperPal are provided as templates and may not satisfy the legal requirements for a valid bill of sale in every state or jurisdiction. You should consult a qualified attorney if you have questions about the legal requirements for a vehicle sale in your jurisdiction.
5. User Responsibilities and Acceptable Use
You agree to use FlipperPal only for lawful purposes. You agree not to:
- Use the App to generate fraudulent, forged, or misleading documents
- Enter false or inaccurate information into bills of sale
- Attempt to reverse-engineer, decompile, or tamper with the App
- Use the App in a manner that violates any applicable federal, state, or local law
- Impersonate another person or entity
- Resell, redistribute, or sublicense access to the Service
We reserve the right to suspend or terminate accounts that violate these terms.
6. User Data Ownership
You retain full ownership of the data you enter into FlipperPal, including the information in your bills of sale and deal history. By using the Service, you grant FlipperPal a limited license to store, process, and display that data solely for the purpose of providing the Service to you. We do not claim ownership of your data and will not use it for purposes beyond operating the Service as described in our Privacy Policy.
7. Intellectual Property
The FlipperPal name, logo, app interface, and all associated intellectual property are owned by FlipperPal. Nothing in these Terms grants you the right to use our trademarks, logos, or brand elements without our prior written consent. The App itself is licensed to you, not sold; you receive a limited, non-exclusive, revocable license to use the App in accordance with these Terms.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, FLIPPERPAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FLIPPERPAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF FLIPPERPAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO FLIPPERPAL IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Termination
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or if we determine it is necessary to protect the integrity of the Service or other users. Upon termination, your right to use the Service ceases immediately.
You may delete your account at any time by contacting us at flipperpalsupport@gmail.com. Upon account deletion, we will remove your personal data in accordance with our Privacy Policy.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States and the state of Tennessee, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Tennessee.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
